Marc Berger brings more than 40 years of experience advising businesses, investors, lenders, and stakeholders in complex operational, financial, and legal environments involving high consequence decision-making, restructuring, and strategic transitions. His work has spanned thousands of engagements representing billions of dollars in aggregate transaction value, with a consistent focus on how systems behave under conditions of stress, fragmentation, competing authority structures, and irreversible consequence. Mr. Berger has advised on mergers and acquisitions, leveraged buyouts, capital formation, joint venture structures, securities offerings, and the negotiation of multi-party transactions for both private and publicly held companies, domestic and international. His experience spans a broad range of industries, with particular depth in asset-intensive sectors including real estate, hospitality, retail, and energy. A significant portion of his career has been devoted to financially distressed and operationally fragmented situations, where contractual authority, economic incentives, operational control, and legal liability frequently diverge. His restructuring work has included out-of-court workouts, Chapter 11 proceedings, receiverships, and creditor committee engagements, typically among financial institutions, operating companies, and competing legal and regulatory interests. Mr. Berger is an experienced litigation consultant and expert witness, having testified in state and federal court and in mediation, arbitration, and bankruptcy proceedings. His testimony has addressed valuation and solvency disputes, partnership and joint venture conflicts, and damage analyses. Beyond his advisory practice, Mr. Berger has acted as a principal investor through a private equity vehicle focused on the acquisition of distressed loans and judgments in partnership with a creditors rights law firm. He has also operated businesses directly, including leading a holding company pursuing a roll-up strategy in the residential landscape services industry. Prior to founding AXIS, Mr. Berger was a Principal with a nationally recognized financial advisory firm specializing in distressed situations. He was formerly a partner at PricewaterhouseCoopers and Arthur Andersen, and a Senior Manager with Kenneth Leventhal & Co. He holds an MBA with a concentration in Finance and a BA in Economics and has been a licensed California Real Estate Broker since 1984. He has also held a California C-53 Contractors License. |
